Role overview

You will lead complex regulatory matters for 
Financial Institutions
 and 
Investment Firms
, with additional coverage of 
CASP/VASP
 regimes where relevant. The remit combines multi-jurisdiction regulator engagement (onshore and offshore), rigorous legal drafting/negotiation, and structured implementation of regulatory change.

Key responsibilities

• Authorisations & variations:
   Prepare and peer-review filings for 
  Financial Institutions, Investment Firms, and CASP/VASP businesses
  ; manage post-authorisation changes (controllers, key functions, outsourcing, programme expansions).
• Regulatory liaison:
   Coordinate submissions and responses to information requests/remediation plans; maintain timely, accurate correspondence with competent authorities.
• Policy & governance:
   Draft and maintain AML/CFT, outsourcing/cloud, complaints, conduct/consumer and operational-resilience frameworks; ensure documentation remains regulator-grade and implementation-ready.
• Commercial & vendor contracts (PSPs & FIs):
   Draft, review and negotiate with 
  Payment Service Providers (PSPs)
   and 
  Financial Institutions
   (e.g., acquirers, issuers, processors):
• Vendor/third-party
   instruments: 
  MSAs
  , 
  SOWs
  , 
  SLAs
  , 
  DPAs
  , data-sharing and sub-processor addenda, information-security schedules.
• Commercial enablement
   instruments: onboarding terms, fee schedules, service orders, amendments, addenda and side letters.
• Corporate & transaction documents:
   Draft, review and negotiate:

  Share Purchase Agreements (SPAs)

• Regulatory change management:
   Monitor payments-services reform, investment-firm rule changes, 
  CASP/VASP
  frameworks and operational-resilience regimes; translate into guidance, templates and implementation plans.
• Formal opinions:
   Produce concise memoranda on scope of permissions, cross-border servicing, marketing claims, outsourcing/cloud and digital-asset touchpoints.
• Quality & mentoring:
   Establish drafting standards and checklists; supervise junior work product for accuracy, consistency and regulator-readiness.

Candidate profile — required

• Qualified lawyer admitted in an EU jurisdiction
  ; LL.M and/or recognised compliance certifications advantageous.
• 4+ years' experience
   within 
  Financial Institutions and/or Investment Firms
  , a top-tier law firm, or a competent authority, with demonstrable exposure to payments/banking or adjacent regulated activities.
• Track record delivering at least two of:
• Authorisations or material variations (Financial Institutions, Investment Firms, or 
  CASP/VASP
   businesses) through to approval
• PSP/FI commercial negotiations (acquirer/issuer/processor/PSP frameworks, pricing and SLAs)
• AML/CFT framework design and testing
• Outsourcing/cloud governance and operational resilience
• Digital-asset regulatory readiness (
  CASP/VASP
  )
• Excellent drafting/negotiation across 
  SPAs, LOIs/MOUs, MSAs/SLAs/DPAs, NDAs, term sheets, escrow and shareholders' agreements
  .
• Strong stakeholder management and clear, professional communication in English; additional languages are an advantage.

Desirable

• Experience coordinating multi-jurisdictional filings, including 
  offshore
   company/licensing structures.
• Familiarity with higher-risk GEO risk management in payments and cross-border operations.
• Comfort with modern knowledge systems and 
  AI-assisted
   review/drafting workflows.

Success profile (first 12 months)

• By 90 days:
   owns 2–3 live files; implements submission templates and QA standards; completes a core policy refresh (AML/CFT + outsourcing/cloud).
• By 6 months:
   secures 
  two regulatory milestones
   (e.g., approval or material variation) and concludes 
  five+
   high-materiality PSP/FI contract negotiations.
• By 12 months:
   sustained on-time approvals with clean correspondence; reusable playbooks that reduce information-request cycles; recognised as a mentor and quality gate for the function.
