Legal Counsel (Corporate & Contracts)

X-FLOW is a mobile game development company established in 2018. We gained recognition after the release of Happy Color, the world's most popular digital coloring book and one of the top ad-driven mobile apps globally. Our diverse and talented team works across the UK, Cyprus, the Netherlands, and many other regions, united by creativity and passion for games that make people feel good.

We're now looking for a Legal Counsel to strengthen our legal function and support X-FLOW's growing international operations. You'll play a key role in managing corporate, contract, and intellectual property matters while partnering closely with our leadership, finance, and product teams.

Key Responsibilities:

  • Manage the company's employment and corporate affairs, including shareholder and board meetings, corporate transactions, and approvals.
  • Negotiate and draft agreements with strategic partners, game studios, and service providers.
  • Oversee the contract management process: drafting, reviewing, tracking, maintaining the database, and monitoring expiration and renewal dates.
  • Protect intellectual property assets, manage the global trademarks portfolio, monitor and enforce IP rights, and handle digital platform disputes (App Store, Google Play, Amazon).
  • Review and manage software and AI-based license agreements, assess risks and legal implications.
  • Monitor and ensure compliance with applicable regulations.
  • Support annual financial audits in collaboration with accounting and finance teams.
  • Provide legal guidance and strategic support to executive and operational teams across the company.

Requirements:

  • Degree in Law (LL.M. is a plus).
  • 3+ years of post-graduate legal experience, preferably in-house within the video gaming, software, or high-tech sectors.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and collaboratively with cross-functional teams.
  • Proven experience managing complex, concurrent workloads with strong attention to detail.
  • Fluency in Russian and English (both written and spoken).
  • Strategic thinker with initiative, accountability, and a hands-on approach.
