Role Description

We are seeking a highly skilled and motivated Corporate Lawyer with a strong background in corporate, commercial, real estate, and contract law, and solid familiarity with regulatory compliance and legal documentation. You will handle a wide range of client matters, provide legal advice, and work both independently and collaboratively with a team of professionals to deliver high-quality legal services and strategic guidance.

Key Responsibilities

·
 Advise on Cyprus Company law matters, corporate governance, and regulatory compliance.

·      Draft, review, and negotiate commercial and corporate documents, including SPA/SHAs, Pledge and Security Agreements, Service and Trade Agreements, NDAs, Board/Shareholder Resolutions, and ancillary documentation.

·      Lead or support corporate structuring, reorganisations, joint ventures, and M&A transactions, including due diligence, closings, and post-completion actions.

·      Prepare legal opinions and memoranda on Cyprus company law and cross-border issues.

·      Handle real estate due diligence and transaction documents (sale/purchase, leases, encumbrances, security packages and Land Registry processes) and related approvals.

·      Liaise with regulators, counterparties, banks, liquidators and service providers; coordinate with notaries and public authorities as required.

·      Manage multiple matters concurrently, ensuring high-quality work and adherence to deadlines.

·      Contribute to internal know-how, templates, and client alerts.

Qualifications & Skills

·      Law degree from a reputable institution; member of the Cyprus Bar Association.

· years of post-qualification experience in corporate/commercial law (law firm or in-house).

·      Proven experience in contract drafting (SPA/SHA, pledges/security, services/trade agreements, NDAs), negotiations, and acquisitions.

·      Strong grounding in Cyprus Company Law and corporate governance.

·      Exposure to real estate law (transactions and security).

·      Excellent legal research, drafting, and analytical skills; ability to produce clear, practical advice.

·      Client-focused, solutions-oriented, with strong interpersonal and communications skills.

·      Proven ability to operate both independently and collaboratively within multidisciplinary teams.

·      High attention to detail; capable of managing multiple cases and deadlines.

·      Fluent English (spoken and written); Greek and/or Russian are advantageous.
