In-House Legal Counsel
in our Nicosia offices.
Demetra invests across a diverse portfolio of listed and private assets, including equities, bonds, corporate real estate, and infrastructure projects such as desalination plants. With a disciplined approach to investing, integrity, innovation, and a strategic mindset at our core, we are looking for a lawyer who can combine strong legal and regulatory expertise with a commercial mindset and the ability to work closely with senior decision-makers.
Key Responsibilities
Investment Transactions
- Provide legal support on investments in listed securities and private companies/assets.
- Draft, review, and negotiate contracts, shareholder agreements, and transaction documents.
- Assist in structuring and executing M&A and other strategic transactions.
Corporate Governance & Compliance
- Advise on corporate governance, compliance, and regulatory matters under Cyprus and EU law.
- Monitor regulatory changes and assess their impact on the Company's operations.
- Ensure adherence to Cyprus Companies Law, CySEC requirements, and EU financial regulations.
Advisory & Stakeholder Management
- Support the Board of Directors and executive management with clear, business-focused legal advice.
- Manage the relationships with external counsel and other legal service providers.
- Identify and mitigate legal risks across the Company's activities.
Ideal Profile
- Cyprus-qualified lawyer with at least 7 years PQE in corporate, M&A, and financial services law.
- Strong knowledge of Cyprus Companies Law, CySEC regulations, and the EU financial services framework.
- Bachelor's degree in law required; postgraduate specialisation (e.g., compliance, financial services, or corporate governance) is an advantage.
- Experience in the financial and real estate sectors preferred.
- Excellent drafting skills in English and Greek, with the ability to communicate complex legal issues clearly.
- A proactive, pragmatic, and commercially minded professional who thrives in a dynamic investment environment.
- Strong interpersonal, negotiation, and problem-solving skills.
